Terms & Conditions

By engaging Vismi Infraedge Pvt. Ltd. ("Vismi", "Company", "we", "us", or "our") for any construction, engineering, or related services, you ("Client", "you", or "your") acknowledge that you have read, understood, and agree to be bound by these Terms and Conditions.

These terms constitute a legally binding agreement between you and Vismi Infraedge Pvt. Ltd. If you do not agree to these terms, please do not proceed with our services.

We reserve the right to modify these terms at any time. Any changes will be effective immediately upon posting on our website or notification to clients.

Vismi provides comprehensive engineering and construction services including but not limited to:

• Civil engineering and construction works
• Mechanical, Electrical, and Plumbing (MEP) services
• Road and highway construction
• Engineering, Procurement, and Construction (EPC) contracting
• Project management and consulting services
• Infrastructure maintenance and support services

Specific services, scope of work, timelines, and deliverables will be detailed in individual project agreements or work orders.

The Client agrees to:

• Provide accurate and complete project requirements and specifications
• Obtain all necessary permits, approvals, and clearances required for the project
• Ensure timely access to project sites and facilities
• Provide necessary utilities and infrastructure support as agreed
• Make payments according to the agreed schedule
• Cooperate with Vismi's team and provide necessary information promptly
• Comply with all applicable laws, regulations, and safety requirements

Failure to meet these obligations may result in project delays, additional costs, or termination of services.

Payment terms will be specified in individual project agreements. General payment conditions include:

• Advance payment as specified in the project agreement
• Progress payments based on milestone completion
• Final payment upon project completion and acceptance
• All payments are due within 30 days of invoice date unless otherwise specified
• Late payments may incur interest charges at 2% per month
• All taxes, duties, and levies are additional to the quoted prices

Vismi reserves the right to suspend work in case of non-payment or delayed payments beyond the agreed terms.

Project execution will be governed by the following principles:

• Work will be performed in accordance with approved drawings, specifications, and applicable codes
• Quality control measures will be implemented throughout the project lifecycle
• Safety protocols and regulations will be strictly followed
• Regular progress reports will be provided to the client
• Any changes to the original scope will require written approval and may affect timelines and costs
• Force majeure events may impact project timelines and will be handled as per industry standards

Vismi will use reasonable efforts to complete projects within agreed timelines, subject to factors beyond our control.

Vismi provides the following warranties:

• Workmanship warranty for a period of 12 months from project completion
• Materials warranty as per manufacturer specifications
• Structural warranty for civil works as per applicable standards
• MEP systems warranty for 12 months or as specified in project agreements

Warranties do not cover:

• Normal wear and tear
• Damage due to misuse, negligence, or improper maintenance
• Modifications made by parties other than Vismi
• Acts of nature, accidents, or force majeure events

Vismi's liability is limited as follows:

• Total liability shall not exceed the contract value of the specific project
• Liability is limited to direct damages only; indirect, consequential, or punitive damages are excluded
• No liability for delays caused by factors beyond our reasonable control
• Client must notify Vismi of any claims within 30 days of discovery
• Vismi maintains appropriate insurance coverage for professional indemnity and public liability

These limitations apply to the fullest extent permitted by applicable law.

Intellectual property rights are governed as follows:

• Vismi retains ownership of all proprietary methods, processes, and know-how
• Project-specific designs and drawings become client property upon full payment
• Vismi may use project information for marketing and promotional purposes unless specifically restricted
• Third-party intellectual property will be respected and properly licensed
• Any improvements or innovations developed during the project may be jointly owned as agreed

Both parties agree to maintain confidentiality regarding:

• Proprietary technical information and trade secrets
• Financial information and commercial terms
• Business strategies and future plans
• Any information marked as confidential

Confidentiality obligations survive termination of the agreement and remain in effect for 5 years unless otherwise specified.

Exceptions include information that is publicly available, independently developed, or required to be disclosed by law.

This agreement may be terminated under the following circumstances:

• Mutual agreement of both parties
• Material breach by either party with 30 days written notice to cure
• Insolvency or bankruptcy of either party
• Failure to make payments as per agreed terms
• Force majeure events lasting more than 90 days

Upon termination:

• Client shall pay for all work completed and materials supplied
• Vismi will deliver all completed work and materials to the client
• Both parties will return confidential information
• Surviving clauses (warranties, liability, confidentiality) remain in effect

Disputes will be resolved through the following process:

1. Direct Negotiation: Parties will attempt to resolve disputes through good faith negotiations
2. Mediation: If negotiation fails, disputes will be referred to mediation by a mutually agreed mediator
3. Arbitration: Unresolved disputes will be settled through arbitration under the Arbitration and Conciliation Act, 2015
4. Jurisdiction: Courts in Jabalpur, Madhya Pradesh will have exclusive jurisdiction

During dispute resolution, both parties will continue to perform their obligations to the extent possible.

These Terms and Conditions are governed by:

• The laws of India
• Applicable central and state regulations
• Industry standards and codes (IS codes, NBC, etc.)
• Environmental and safety regulations
• Local municipal and authority requirements

Any legal proceedings will be conducted in English and Hindi as applicable.
